Education Management Solutions, LLC. ("EMS") has provided you with SIMULATIONiQ Counseling (the "Product") for instructional use and review. You and/or your learners may use this Product for educational or training use subject to the terms described below. EMS has established these use limitations in response to concerns raised by authors, educators, and other users regarding the pedagogical problems stemming from unlimited distribution of supplemental material.
EMS hereby grants you a nontransferable license to use the Product for your personal, noncommercial use only. The Product may not be reproduced or distributed, except that portions of the Product may be provided to your learners in connection with your training instruction. This Product may be posted electronically as described herein. Any portion of the Product posted electronically must be through a password-protected website or institution-approved intranet accessible solely by your learners. Unless otherwise authorized, all copy and download functionality must be disabled. You may not sell, share login credentials, license, auction, or otherwise redistribute the Product in any form. We ask that you take reasonable steps to protect the Product from unauthorized use, reproduction, or distribution. Your use of the Product indicates your acceptance of the conditions set forth in this Agreement.
All rights (including without limitation, copyrights, patents, and trade secrets) in the Product are and will remain the sole and exclusive property of EMS and/or its licensors. The Product is furnished by EMS on an "as is" basis without any warranties, express or implied. This Agreement will be governed by and construed pursuant to the laws of the State of Pennsylvania, without regard to such State's conflict of law rules which would require the application of the laws of another jurisdiction.
